Terms of Service

1. Accepting these terms

These terms are an agreement between you and Panoverse Inc. d/b/a Kolect AI ("Kolect", "we", "us") for the use of Kolect Creator Search (app.kolect.ai and its Chrome extension, the "Service"). By signing up for, signing in to or using the Service, you agree to these terms and our Privacy Policy.

If you use the Service on behalf of a company, you confirm that you can accept these terms for it, and "you" includes that company. You must be at least 18 to use the Service.

2. The Service

• The Service helps you find and manage creators on TikTok, Instagram and YouTube: search by description or filters, look creators up by link or list, save them, check their followers and get their public contact emails.
• Creator data comes from public profiles and may be delayed or wrong. Fields such as audience breakdown, category and account type are AI estimates, not official platform data. We don't guarantee that data is complete, accurate or current, or the outcome of any collaboration with a creator.
• We may add, change or stop features. We'll give advance notice of changes that significantly affect paying users.
• Kolect is not affiliated with or endorsed by TikTok, Instagram or YouTube. Those names and trademarks belong to their owners.

3. Your account

• Give a real, working email when you sign up and keep your password safe. You're responsible for what happens under your account; tell us right away if it's compromised.
• Your account is for you alone. Don't share, transfer or sell it. Don't open multiple accounts to collect free credits again or to get around free limits.

4. Credits, subscriptions and payment

• Searching, unlocking emails, checking followers and similar actions use credits. What each costs is shown on the Pricing page and before you act. Nothing is charged, or credits are returned, when there are no results or a system error occurs.
• Subscriptions renew monthly or yearly until you cancel. Subscription credits arrive each month and are valid for that month; credit packs and free credits don't expire. Credits have no cash value and can't be transferred or exchanged for cash.
• Online payments are in US dollars through Stripe. You can also contact us to top up by bank transfer or WeChat.
• We may change prices. A change never affects a period you've already paid for; new subscription prices start from your next period, we'll tell you in advance, and you can cancel before the change takes effect.
• Limited-time offers (such as free email unlocks for members) apply on the terms and for the period shown on the site, and end when that period ends.
• If a renewal payment fails, we may pause paid features until payment succeeds.
• Canceling, upgrading, downgrading and refunds are covered in the Refund Policy.

5. Using creator data and contact emails

You may use data from the Service only to find and contact creators for your own business or your company's. You agree to:

• follow applicable laws when you contact creators, including anti-spam laws (such as the US CAN-SPAM Act) and privacy laws (such as the EU GDPR): identify yourself honestly and respect requests to unsubscribe or not be contacted;
• not sell, rent or publish data from the Service (including contact emails) or provide it to third parties;
• not use data from the Service to build or enrich a separate creator database, or to build a product that competes with the Service;
• not use the data to harass, discriminate against or track anyone, or for any other unlawful purpose.

6. Prohibited uses

When using the Service, you may not:

• access the Service with crawlers, scripts or other automated means, or download data in bulk (other than through the Service's own export features);
• get around credit, usage or permission limits, or probe or break the Service's security;
• decompile or reverse engineer the Service, or copy its interface or features;
• upload viruses or malicious code, or interfere with the Service's normal operation;
• impersonate anyone or give false information;
• break the law or infringe anyone's rights.

7. Your content

Content you enter or upload (search descriptions, lists, saved creators, marks and so on) belongs to you. You allow us to store, process and use it to provide and improve the Service, as described in the Privacy Policy. You confirm you have the right to provide it.

8. Our rights

The Service's software, design, text, trademarks and data compilation belong to Kolect or its licensors. You get no rights beyond the uses these terms allow. We may use any suggestions or feedback you give us freely and without obligation to you.

9. Suspension and termination

• You can stop using the Service at any time and ask us to delete your account. If you have an active subscription, cancel it first.
• We may suspend or close your account if you break these terms, don't pay what you owe, or your use puts other users, creators or us at risk. If we close an account for breaking these terms, remaining credits and payments are not refunded.
• Terms that by their nature should survive (such as the data use limits, disclaimers, limits of liability and governing law) continue after termination.

10. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose or non-infringement, and we don't promise that the Service will be uninterrupted, error-free or accurate.

11. Limitation of liability

To the fullest extent the law allows: we are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, goodwill or data; and our total liability for anything relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or US$100 if you haven't paid us. Some places don't allow these limits, in which case they apply only as far as the law permits.

12. Indemnity

If a third party makes a claim against us because you broke these terms or the law, or because of how you used creator data, you agree to cover our resulting losses and reasonable costs, including legal fees.

13. Changes to these terms

We may update these terms and will change the date at the top when we do. We'll tell you about significant changes on the site or by email at least 14 days before they take effect. If you keep using the Service after a change takes effect, you accept the new terms; if you don't agree, you can stop using the Service and cancel your subscription.

14. Governing law and disputes

These terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. We'll both first try to resolve any dispute about these terms or the Service informally; if that fails, it will be decided by the courts of competent jurisdiction in California. This doesn't affect any rights you have under the laws where you live that can't be waived by agreement.

15. General

• These terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service.
• If any term is found invalid, the rest stay in effect. If we don't enforce a right, we haven't waived it.
• You may not transfer your rights or obligations under these terms without our consent. We may transfer them in a merger, acquisition or sale of assets.
• These terms are available in English and Chinese. If the versions differ, the English version controls.
